It\u2019s a return to be submitted by all the Indian companies that have received FDI during a financial year.<\/p>\n<p>The return also has to be filled in case the company has made an investment in a foreign company known as Overseas Direct Investment (ODI).<\/p>\n<p>The last date for <a href=\"https:\/\/www.bbnc.in\/contact.php?service=Foreign%20Liabilities%20and%20Assets\">FLA filling<\/a> has been declared July 15, 2022, by <a href=\"https:\/\/www.rbi.org.in\/SCRIPTs\/BS_FemaNotifications.aspx?Id=183\">FEMA<\/a>.\u00a0 The filings must be directly submitted by the company to the Reserve Bank of India annually. In this blog, I\u2019ve explained in detail about FLA filling:<\/p>\n<p>&nbsp;<\/p>\n<h2><span class=\"ez-toc-section\" id=\"Who_Should_File_FLA_Return\"><\/span><strong>Who Should File FLA Return?<\/strong><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p>The FDI or ODI made in the previous year including the current year by <a href=\"https:\/\/www.bbnc.in\/services\/public-limited-company.php\">Company<\/a> or <a href=\"https:\/\/www.bbnc.in\/services\/limited-liability-partnership.php\">LLP,<\/a> Partnership firms, SEBI registered Alternative Investment Funds (AIFs), Public-Private Partnerships (PPP), Branches or Trustees that have foreign assets or liabilities in the balance sheet must file FLA return.<\/p>\n<h2><span class=\"ez-toc-section\" id=\"Who_Is_Exempted_From_Filing_FLA_Returns\"><\/span>Who Is Exempted From Filing FLA Returns?<span class=\"ez-toc-section-end\"><\/span><\/h2>\n<ul>\n<li>Where Indian company does not have any outstanding investment in respect of inward and outward FDI as of the end of March of the reporting year.<\/li>\n<li>If a company has received only share application money and does not have any foreign direct investment or overseas direct investment outstanding as of March-end of the reporting year.<\/li>\n<li>Companies which have issued the shares to <a href=\"https:\/\/www.bbnc.in\/services\/Residential-Status.php\">non-residents<\/a> only on a Non-repatriable basis are not required to submit the FLA Return.<\/li>\n<\/ul>\n<h2><span class=\"ez-toc-section\" id=\"What_Is_The_Due_Date_For_Filing_FLA_Return\"><\/span>What Is The Due Date For Filing FLA Return?<span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p>FLA return is mandatory under the <a href=\"https:\/\/www.rbi.org.in\/SCRIPTs\/BS_FemaNotifications.aspx?Id=183\">FEMA Act 1999<\/a>, and companies are required to submit the same based on audited\/ unaudited accounts by 15 July every year.<\/p>\n<p>If a company\u2019s accounts are not audited before the due date of submission, i.e., 15 July, the FLA Return must be submitted based on an unaudited (provisional) account. Once the accounts get audited, and there are revisions from the company\u2019s provisional information, they are supposed to submit a revised Foreign Assets and Liabilities return based on audited accounts by the end \u2013 of September.<\/p>\n<p>&nbsp;<\/p>\n<h2><span class=\"ez-toc-section\" id=\"How_To_File_Form-_FLA_Return\"><\/span>How To File Form- FLA Return?<span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p>FLA return has to be filed to RBI using excel based form. The form after being filed will be emailed to the official RBI email Id which is <a href=\"mailto:fla@rbi.org\">fla@rbi.org<\/a>.in by an authorised person like CFO, Director, Company Secretary etc. On submitting the FLA return, it will forward an acknowledgement to the email address of the authorised person.<\/p>\n<h2><span class=\"ez-toc-section\" id=\"What_Is_The_Penalty_When_You_Dont_File_FLA_Return\"><\/span>What Is The Penalty When You Don&#8217;t File FLA Return?<span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p>There are no specific penalties for FLA, however, Non-filing of the FLA return before the due date will be treated as a violation of FEMA and a penalty will be levied on defaulters which must be:<\/p>\n<ul>\n<li>If an amount against which offence is quantifiable, then a penalty will be \u201cTHRICE\u201d the sum involved in the contravention.<\/li>\n<li>Where an amount cannot be quantified, the penalty may be imposed up to <strong>2 lakh rupees<\/strong>.<\/li>\n<li>If any contravention is continuing every day, then <strong>Rs. 5,000<\/strong> for every day after the first day during which the contravention continues.<\/li>\n<\/ul>\n<p>Further, in addition to a penalty, any currency, security, or other money or property involved in the contravention may also be confiscated.<\/p>\n<h2><span class=\"ez-toc-section\" id=\"Conclusion\"><\/span>Conclusion:<span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p>It\u2019s compulsory for all the business organisation that engages in FDI OR ODI whether Indian or foreign to file FLA\u2019s return annually.
